Terms of Service

The terms that apply when you use Sohwatt LLP's products and services.

Last updated: 2 November 2026

Acceptance of these terms

By purchasing, subscribing to, requesting or using Sohwatt LLP's products or services, you agree to these Terms of Service.

Where a separate quotation, proposal, statement of work, order form or written agreement contains terms specific to a service or project, those specific terms take precedence over these general Terms where there is a conflict.

Services

Sohwatt LLP may provide services including:

Not every service includes every feature described in these Terms. What a particular service includes depends on the service itself and, where applicable, its quotation, proposal or written agreement.

Pricing and payment

You are responsible for paying invoices by the stated due date. Services are priced as published on the relevant service page, or as stated in your quotation, proposal or written agreement, at the time you order.

Services do not automatically renew. Renewal requires you to settle the applicable renewal invoice. If a renewal invoice is not paid when required, you risk service interruption, suspension, expiry or termination.

We do not promise a fixed grace period unless one is specifically stated on your invoice or service agreement. No late-payment fee applies unless it is separately specified in an invoice, quotation or agreement.

Service renewal

Sohwatt LLP does not automatically charge you and does not automatically renew services. You are responsible for ensuring renewal invoices are paid before the applicable service expires.

Failure to make payment may result in service disruption or loss of service. We cannot guarantee that an expired service can always be recovered or reinstated, particularly where third-party providers, registries or infrastructure are involved.

Price changes

Sohwatt LLP may change its prices from time to time. Price changes do not retrospectively affect a period that has already been paid for. They apply from your next renewal or new purchase after the price change.

Price changes will normally be communicated at least one month before the new pricing takes effect. That one-month notice relates to when the price change takes effect, not necessarily to one month before your individual renewal date.

We do not promise permanent or grandfathered pricing unless separately agreed in writing.

Refund policy

Sohwatt LLP maintains a no-refund policy for products and services. Payments made for products or services are non-refundable once payment has been made, except where Sohwatt LLP expressly agrees otherwise in writing, or where a refund is required by applicable Singapore law.

This applies to products and services including domains, hosting, email services, backup services, technical services and project work. We do not promise prorated refunds for unused portions of a subscription or service period.

Cancellation

You may request cancellation of a service. Once we receive and process your cancellation request, the cancellation will proceed.

Do not assume that cancellation merely disables a future automatic renewal, because Sohwatt LLP does not use automatic renewal. If you want to continue using a service until near its renewal or expiry date, please contact us closer to that date rather than submitting an immediate cancellation request.

Fees already paid remain non-refundable. Cancellation may result in service termination and deletion of associated customer data according to our applicable retention and backup processes. Please see our Privacy Policy for further information about data retention following service termination.

Website hosting backups

Website hosting includes up to 7 daily backups.

We take reasonable measures to maintain website backups, but we cannot guarantee that every backup or restoration will always be successful, complete or free from corruption. The 7 daily backups do not constitute an absolute guarantee of recoverability. If you have a business-critical website or data, please maintain independent copies appropriate to your needs.

Cloud Backup Hosting

Cloud Backup Hosting is separate from website-hosting backups. Cloud Backup Hosting does not provide versioning.

Backup systems preserve the source data presented to them. If source data has already been corrupted, damaged, encrypted, modified, compromised by malware or ransomware, or otherwise made unusable before it is backed up, that condition may also be reflected in the backup.

We do not guarantee that every backup or restoration will always succeed, and Cloud Backup Hosting should not be described as protection that guarantees recovery from ransomware, corruption or other data-loss events. You remain responsible for maintaining appropriate additional copies of critical information and for implementing suitable security controls on your source systems.

Email hosting and email backups

We use third-party providers to deliver email-hosting services. Any email backup, recovery, retention or restoration functionality may depend entirely on the capabilities and policies of the relevant third-party email provider.

We do not guarantee the existence, availability or retention period of email backups unless a particular capability has been expressly agreed with you. Our website-hosting backup and Cloud Backup Hosting policies do not automatically apply to email hosting.

Third-party services

We may rely on third-party providers for infrastructure and services including domain registration, hosting, email, cloud infrastructure, backup infrastructure, remote-support systems, and other technology required to deliver our services. Some aspects of our services therefore depend on third-party systems outside our direct control, and we cannot guarantee uninterrupted availability or continued availability of third-party services.

Where reasonably necessary, we may change an underlying provider or technology used to deliver a service, provided that the overall nature of the purchased service is not materially changed without appropriate notice where practicable.

Domain registration and management

Domain registration is subject to domain availability, applicable registry and registrar requirements, eligibility requirements, successful payment, and any required identity or eligibility verification. We cannot guarantee that a requested domain name has been successfully secured until registration is completed.

You must provide accurate information required for registration and cooperate with applicable verification requirements. Domain registration and renewal fees are non-refundable.

By default, domains managed through Sohwatt LLP may be registered using Sohwatt LLP's registrant and ownership details, unless another arrangement has been agreed. This means you should not assume you are recorded as the registered legal owner where Sohwatt LLP is the registrant.

You may request that a domain managed by Sohwatt LLP be transferred to you or to another provider. Any transfer remains subject to applicable registry and registrar rules, eligibility requirements, technical requirements, outstanding payments and other applicable requirements. We do not guarantee that every domain can be immediately transferred, because registry restrictions or transfer-lock periods may apply.

Acceptable use

You must not use our services for unlawful, abusive or harmful activities, including:

We may suspend or terminate a service immediately where reasonably necessary to respond to serious abuse, security threats, unlawful activity or risks to Sohwatt LLP, its providers or other customers. Where appropriate and reasonably practicable, we may contact you before or after taking such action.

Technical support and remote access

When you request technical support, repair, troubleshooting, operating-system installation or similar work, you authorise us to perform work reasonably necessary to provide the requested service. Where remote access is required, it will be performed with your permission.

You are responsible for maintaining an appropriate backup of important data before technical work is performed. Technical work involving computers, operating systems, storage devices or software carries an inherent risk of data loss, corruption, incompatibility or unexpected failure. We will take reasonable care when performing technical work, but we do not guarantee preservation of all customer data.

Customer responsibilities

You are responsible for:

You should not use our services as the sole copy of irreplaceable or business-critical data where independent backup is reasonably possible.

Website design and development

Specific requirements for website design, development or other project-based work — including scope, deliverables, pricing, deposits, payment milestones, revision limits, project timelines, intellectual-property ownership, third-party assets, licensing, maintenance and handover — may be defined in the applicable quotation, proposal, statement of work or other written agreement.

Where those project-specific terms conflict with these general Terms, the project-specific terms take precedence for that project.

Service availability

We aim to provide reliable services, but we do not guarantee that services will always be uninterrupted, error-free or continuously available. Availability can be affected by maintenance, software or hardware failure, network failures, cybersecurity incidents, third-party provider outages, internet connectivity, and events outside our reasonable control.

Where practical, we may communicate significant planned maintenance or service disruptions, but we do not promise a fixed notification period.

Limitation of liability

To the maximum extent permitted by applicable Singapore law, Sohwatt LLP's aggregate liability arising from or relating to a product or service is limited to the amount actually paid by you to Sohwatt LLP for the affected product or service giving rise to the claim.

To the extent permitted by law, Sohwatt LLP is not liable for indirect, incidental, special or consequential losses, including lost profits, lost revenue, loss of business, business interruption, loss of opportunity, and indirect data-loss consequences. This limitation also applies appropriately to failures caused by third-party providers or circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under Singapore law.

Data loss

While we take reasonable care when handling customer systems and data, no hosting, backup, storage, repair or technical system can completely eliminate the possibility of data loss or corruption. You are responsible for maintaining additional copies of critical information where appropriate. This section works together with the website hosting backup, Cloud Backup Hosting and technical support sections above.

Suspension and termination

We may suspend or terminate services where reasonably necessary because of non-payment, serious breach of these Terms, illegal or abusive use, security threats, risk to Sohwatt LLP or third-party infrastructure, or requirements imposed by a registry, provider, authority or applicable law. Immediate suspension is permitted where waiting would create material security, legal or operational risk.

Termination does not automatically entitle you to a refund.

Privacy and customer data

How we handle personal data is described in our separate Privacy Policy, rather than duplicated in full here. That policy is compatible with these Terms: in particular, residual data within backup systems may automatically age out through normal backup rotation, and complete removal may take up to 12 months, as described in the Privacy Policy.

Changes to these terms

We may update these Terms when our services, business practices, pricing structures or legal requirements change. Material changes will be communicated where reasonably appropriate. Changes do not retrospectively alter already-completed transactions unless required by law or agreed with you.

Governing law

These Terms are governed by the laws of Singapore. Any disputes are subject to the jurisdiction of the courts of Singapore, subject to any rights or dispute-resolution mechanisms that cannot legally be excluded.
